Terms & Conditions

These Terms and Conditions (together with the documents referred to in them) tell you the terms and conditions on which you may make use of our online subscription portal (www.millionaire-investments.com) (Portal). Please read these Terms and Conditions carefully before you start to use the Portal. By using our Portal, you indicate that you accept these Terms and Conditions and that you agree to abide by them. If you do not agree to these Terms and Conditions, please refrain from using the Portal.

1.   Information about us
The Portal is operated by Elan Strategic Investments LLP trading as Millionaire Investments (“We”). We are a limited company registered in England and Wales under company number 0C342537 and have our registered office at Kings Lodge, London Road, West Kingsdown, Nr Brands Hatch, Kent, TN15 6AR. Our main trading address is Bentley Manor Barns, Church Road, Little Bentley, Essex, CO7 8SE.


Accessing our Portal
Access to our Portal is strictly permitted for the purpose specified in these Terms and Conditions, and we reserve the right to withdraw or amend the service we provide on our Portal without notice. We will not be liable if for any reason our Portal is unavailable any time or for any period.

From time to time, we may restrict access to some parts of our Portal, or our entire Portal, to subscribers.

If you choose, or you are provided with, a user identification code, password or any other piece of information as part of our security procedures, you must treat such information as confidential, and you must not disclose it to any third party. We have the right to disable any user identification code or password, whether chosen by you or allocated by us, at any time, if in our opinion you have failed to comply with any of the provisions of these Terms and Conditions.

You are responsible for making all arrangements necessary for you to have access to our Portal. You are also responsible for ensuring that all persons who access our Portal through your internet connection are aware of these Terms and Conditions, and that they comply with them.

2.   Code of Conduct

Use of the Portal constitutes acceptance and agreement to our Club Code of Conduct. If you violate the Code of Conduct, we reserve the right to terminate your account or refuse/suspend entry without prior notice. We prefer to advise users of inappropriate behaviour and/or usage in breach of these Terms and Conditions and/or Code of Conduct, however, flagrant and repeated violations of our Code of Conduct and/or Terms and Conditions will result in an immediate ban without prior notice. Our failure to enforce any term of these Terms and Conditions and/or the Code of Conduct, for whatever reason, shall not be construed as a waiver of our right to do so at any time.

We created the Code of Conduct to provide a basic understanding of what's allowed and not allowed in our membership portal. The following are guidelines to establish and enforce our Code of Conduct:
General 
All participants are expected to conduct themselves in a professional manner which respects other individuals.
 
Membership 
The Portal will not condone any form of solicitation. You are expressly prohibited from soliciting or enticing away the customers, clients, suppliers and/or employees whose details are contained in our Portal of any other members of the Portal. There will be zero tolerance for any form of solicitation in breach of the Code of Conduct and/or these Terms and Conditions and in the event of any such breach we reserve the right to immediately terminate/suspend your membership/use of the Portal. If you wish to advertise, please contact the MI team on info@millionaire-investments.com.

As a member of our Portal, you must participate responsibly. If you have any questions regarding our Code of Conduct, please contact the MI team via the enquiry form on the Portal.

3.   Online conduct and contact

The purpose of the subscription area contained in our Portal is to provide a resource for agents and financial institutions to list high quality products in regards to investment and lifestyle acquisition.

To protect our members all personal details will be kept in a secure manner, and no contact details will be passed on to a third party (unless required by law) whether they are a subscriber or non-subscriber who uses the appropriate contact mechanisms to make contact with a subscriber

4.   Your Material and Information

Your are expressly prohibited from listing and/or posting any defamatory material on our Portal. Treat others in your dealings as you would like to be treated yourself.

We reserve the right to edit, delete, or reject any listings or material which in our opinion does not pass for approved entry onto the membership portal, including but not limited to any material which is defamatory, is of an illegal nature, is inappropriate or is not in accordance with the general purpose of the Portal.

You are required to keep your email account up to date, so the MI team can contact you regarding investments, membership details and any other requirement for correspondence.

You agree that any material/information listed or uploaded by you or on your behalf shall be considered non-confidential and non-proprietary, and we have the right to use, copy, distribute and disclose to third parties any such material/information for any purpose. You also agree that we have the right to disclose your identity to any third party who is claiming that any material/information posted or uploaded by you or on your behalf onto our Portal constitutes a violation of their intellectual property rights, or of their right to privacy.

We shall not be responsible, or liable to any third party, for the content or accuracy of any material/information posted by you or any other user of our Portal. You warrant that any and all materials and/or information uploaded/provided by you onto our Portal are true, accurate, not misleading and it or they do not infringe any third party intellectual property rights. You warrant that if any of your material/information is in breach of this clause that you shall indemnify us for all direct and indirect claims, losses (including consequential), liabilities, costs, fees, damages and expenses incurred by us as a result of such breach.

6.   Listing Agents and vendors
Agents and vendors wishing to list products on the Portal must provide high quality accurate information that doesn’t contravene any statutory instruments, regulations or otherwise, including but not limited to, the ‘Property Misdescriptions Act 1991.

If a product listing from further investigation is thought to be inaccurate we reserve the right to remove the listing immediately, and we will only re-list once the information is proven to be accurate and approved by the/our team.
Banner advertising on www.millionaire-investments.com

All banner advertisements must be supplied in the size detailed on and shall be subject to the price and time of payment specified on the rate card provided by us or as other agreed. Time of payment shall be of the essence.

If payment is not received for the agreed monthly cost of advertising on the Portal, we reserve the right to remove the advertisement immediately. We will only re-introduce the advertisement once the account is paid up to date.

7.   Complaints Procedure
It is in the best interest of all members that complaints are dealt with in a professional and concise manner. If a member wishes to complain about a third party member, all complaints should be directed to info@millionaire-investments.com where a member of the MI team will deal with a complaint in an unbiased manner.

If a complaint is received by us in relation to the service we are providing, this complaint will be dealt with by a senior member of the MI team. This type of complaint should be directed to info@millionaire-investments.com.

8.   Subscriptions

The current subscription rates for private individuals, agents and professionals who wish to list investment products on the Portal is £99.99, or £249.99 or £499.99 per annum payable in advance if paid for in full when subscribing to our Portal. Equivalent monthly payments of £9.99, £24.99 and £49.99 per month are payable in advance. By entering into a monthly payments scheme, the subscriber is liable one year of payments, and accepts the monthly payment as a one year contract, with total payments of £119.88, £399.88 and £599.88.

In the event a member, who has paid for the annual membership in advance, wishes to cancel the membership his/her payment shall be forfeited.

9.   Data protection

All members data will only be used for the use of the Portal, and will not be passed on to a third party unless requested in writing by the member, and members are protected under the Data Protection Act 1998.

10.   Legal Information

Property investment can carry high risk, but also has the opportunity of high rewards.  Before investing in one of the listed opportunities advertised, listed or displayed on our Portal, investors and members are strongly advised to seek independent professional and legal advice and to verify all facts, details and information for themselves for completing any transaction.

11.   Disclaimer

All listings contained, listed, advertised or displayed in our Portal are for guidance only and are not intended to amount to advice on which reliance should be placed. It is recommended that all members seek independent professional advice on any investment listed on the Portal.

The material/information displayed on the Portal is provided without any guarantees, conditions or warranties as to its accuracy and in particular we do not represent or warrant that any of its content is true, complete, accurate, current or up to date and we shall not be liable for any loss, claim, expense, damage or otherwise which you incur as a result of inaccurate, out of date, incomplete or false information contained, displayed or listed in the Portal. To the extent permitted by law, we, other members of our group of companies and third parties connected to us hereby expressly exclude;

11.1  all conditions, warranties and other terms which might otherwise be implied by statute, common law or the law of equity;

11.2  any liability for any direct, indirect or consequential loss or damage incurred by any member/user in connection with our Portal or in connection with the use, inability to use, or results of the use of our Portal, any websites linked to it and any materials posted on it, including without limitation, any liability for loss of income or revenue, loss of business, loss of profits or contracts, loss of anticipated savings, loss of data, loss of goodwill, wasted management or office time and any other loss or damage of any kind, however arising and whether caused by tort (including negligence), breach of contract or otherwise.

11.3  Our total liability in contract, tort (including negligence or breach of statutory duty), misrepresentation, restitution or otherwise arising in connection with the performance or contemplated performance of the supply of your subscription to use the Portal shall be limited to the subscription paid under clause 9.

This clause 12 does not exclude any liability for death or personal injury arising from our negligence, our liability for fraudulent misrepresentation or any liability which cannot be excluded or limited under applicable law.

12.   Viruses, Hacking and Other Offences

You must not misuse our Portal by knowing introducing viruses, Trojans, worms, logic bombs or other material which is malicious or technically harmful. You must not attempt to gain any unauthorised access to our Portal, the server on which our Portal is stored or any server, computer or database connected to our Portal.

By breaching this clause 13 you would commit a criminal offence under the Computer Misuse Act 1990. We will report any such breach to the relevant law enforcement law enforcement authorities and we will co-operate with those authorities by disclosing your identity to them. In the event of such breach, your right to use our Portal will cease immediately.

We will not be liable for any loss or damage caused by viruses or other technologically harmful material that may infect your computer equipment, computer programs, data or other proprietary material due to your use of our Portal or to your downloading of any material posted on it, or on any website linked to it.

13.   Intellectual Property

We are the owner or the licensee of all intellectual property rights in our Portal, and in the material published/listed on it, including but not limited to, copyright and trademarks. These works are protected by copyright laws and treaties and all such rights are reserved.

You are expressly prohibited from coping, reproducing, displaying or transmitting any such material published/listed on our Portal without obtaining our prior written consent.

Subject to this clause you are permitted to use the information displayed in our Portal for the sole purpose of this Portal and we reserve the right to withdraw this licence at any time without notice to you.

You agree to indemnify us in the event that we incur any indirect/direct claims, liabilities, costs, fees, losses, damages or expenses (including consequential) as a result of your breach of this clause 14.

14.   Jurisdiction and Applicable Law

The English courts will have exclusive jurisdiction over any claim arising from, or related to, a visit to or the use of or in connection with the Portal. These Terms and Conditions and any dispute or claim arising our of or in connection with them or their subject matter or formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the law of England and Wales.

15.   Variations

We may revise these Terms and Conditions at any time by amending this page. You are expected to check this page from time to time to take notice of any changes we made, as they are binding on you. Some of the provisions contained in these Terms and Conditions may also be superseded by provisions or notices published elsewhere on our Portal.

16.   Force Majeure

We shall have no liability to you under these Terms and Conditions if we are prevented from or delayed in performing our obligations under these Terms and Conditions or from carrying out our business by acts, events, omissions or accidents beyond our reasonable control, including strikes, lock-outs or other industrial disputes, failure of a utility service, act of God, war, terrorist activity, riot, civil commotion, malicious damage, compliance of any law or governmental order, rule, regulation or direction, accident, breakdown of plant and machinery, fire, flood, storm or default of suppliers or sub-contractors.

17.   Severance
If any provision (or any part of any provision) is found by any court or other authority of competent jurisdiction to be invalid, illegal or unenforceable, that provision or part-provision shall, to the extent required, be deemed to form part of these Terms and Conditions and the validity and enforceability of the other provisions of the Terms and Conditions shall not be affected.
